Crescent Private
Capital, L.P. is a private equity firm based in Boston, MA with $75 million
under management. Crescent invests in private companies with demonstrated
track records of growth and profitability.
Crescent has a broad industry
focus but prefers to invest in industries with significant growth and in
businesses that are not capital intensive. Crescent looks to make a $3
million to $5 million equity investment in each company. The proceeds from
our investments are used to support internal growth, to finance acquisitions
or to provide liquidity for existing shareholders. We are flexible in structuring
our investments but typically invest in growth financings, minority and
majority recapitalizations, consolidations, and management led buyouts.
Crescent's limited partners
are a strong group of long-term private equity investors including the
following: public pension funds such as the Detroit Firemen and Policemen
Retirement System, the MBTA Retirement Fund and the city of Somerville;
financial institutions such as FleetBoston, Firstar Bank and the Development
Bank of Singapore.

with over a dozen Joint Venture Partners who provide deal flow for Crescent
and lending relationships for our portfolio companies. These Joint Venture

Nancy S. Amer, General
Partner, founded Crescent in the spring of 1999 after seven years with
the Harvard Management Company, Inc., which manages the endowment for Harvard
University. Nancy has experience investing in venture capital, growth capital,
and leveraged buyout situations in a broad range of industries. Nancy is
an alumnus of the Boston Consulting Group, Morgan Stanley, Harvard Business

Hugh J. O'Donnell, General
Partner, joined Crescent in the fall of 1999 after four years investing
in service companies at TA Associates, a private equity fund in Boston
with over $4 Billion under management. Hugh has experience in buyouts and
recapitalizations of IT service businesses, multi-unit service businesses,
healthcare, and distribution businesses. A native of Boston, he graduated
from Harvard University and was trained as a commercial lending officer

Neil H. Powell, Jr., Special
Limited Partner, was involved in the creation of Crescent, and officially
joined the Crescent team early in 2001. Prior to joining Crescent, Neil
was Chairman and Founder of SPP Capital Partners, an investment bank formed
in partnership with Hambros Group PLC, to pursue corporate finance opportunities
in the private placement industry, both in the United States and in Europe.
Prior to forming SPP Capital Partners, Neil led the Private Placement Groups
at Bankers Trust Company and Bank of America. Neil held various investment
and/or lending positions at John Hancock Financial, Colonial Management
Group and Bank of Boston, and commenced his career at the Chase Manhattan
Bank. Neil graduated from University of Massachusetts, Amherst, MA. He
